SOLUTION: Uninstall Video Pack 5 and also delete CDRALW2K.SYS (Tip from Christian Männchen). As the name implies, this is used for legacy systems. Correspondent Larry Blumette identified the CDRALW2K.SYS file (version 220.127.116.118) as the Roxio file causing his shutdown problems and error conditions.
